Document Filings & Retrievals
Corporate compliance is an ongoing responsibility throughout the business lifecycle. From starting your business, to managing, to growing, and to closing, CT understands the ins and outs of each document filing or document retrieval you’ll need. Our understanding of the federal and state nuances will help you avoid common pitfalls and prepare for what comes next.
We can help you with these compliance activities:
Forming a New Entity
[collapse collapsed title="Incorporation/Formation Filing" class="my_css_class"] CT can help you create a legal entity – corporation or LLC – in your domestic state. Formally recognized by the state in which the business is incorporated, incorporated companies and LLCs can buy and sell property, bring lawsuits, enter into legally binding contracts, and be taxed. We can also help you obtain your Federal EIN number and reserve your name at the same time.[/collapse]
[collapse collapsed title="Foreign Qualification Filing" class="my_css_class"] When you are ready to expand your business into another state, CT can help register your entity within the new jurisdiction. We can also help check name availability, prepare and file the Certificate of Authority, and obtain a Good Standing or Certified Copy.[/collapse]
[collapse collapsed title="Assumed Name (DBA) Filing" class="my_css_class"] You will need to file an assumed name or doing business as (DBA) when you want to operate your business under a new or additional name. CT can help with the preliminary state name check, preparation and filing of DBA documents, and shipping of completed documents.[/collapse]
[collapse collapsed title="Amendment" class="my_css_class"] When you need to update or change your company information, we can prepare and file your Article of Amendment with the state.[/collapse]
[collapse collapsed title="Federal EIN Filing" class="my_css_class"] A Federal EIN (Employer Identification Number) is a mandatory identification number – issued by the IRS – required for any business that wants to open a bank account and employ workers. CT can help obtain this number on your behalf when you form your business.[/collapse]
Changing or Maintaining an Entity
[collapse collapsed title="Annual Report Filing" class="my_css_class"] Nearly every state requires an annual information statement from corporations and LLCs that formed or are registered in the state. CT can help with all your annual report needs with a variety of solutions that fit your needs.[/collapse]
[collapse collapsed title="Merger/Acquisition Filing" class="my_css_class"] Merging or acquiring other businesses calls for its own set of due diligence activities. CT can help you stay on top of all the pieces and deadlines, including obtaining regular good standing status updates, activities to form a new business entity, and merger or consolidation filings.[/collapse]
[collapse collapsed title="Amendment Filing" class="my_css_class"] When you need to update or change your company information, we can prepare and file your Article of Amendment with the state.[/collapse]
[collapse collapsed title="Reinstatement Filing" class="my_css_class"] If your business has fallen out of good standing, we can help you identify all steps your business must take to become compliant with the state, including the following: determining any overdue fees; obtaining, auditing and submitting all restatement forms needed; and notifying your company when you are back in good standing.[/collapse]
[collapse collapsed title="Conversion Filing" class="my_css_class"] You will need to file a conversion filing to change your company's entity type. We can help determine the steps needed for your state and then obtain, prepare and file on your behalf with the appropriate state agency or agencies.[/collapse]
[collapse collapsed title="Certificate of Good Standing" class="my_css_class"] Looking to do business in another state? A company must show that it is in “good standing” in its home state, and it has complied with all of its state-required corporate formalities by providing a Certificate of Good Standing (also known as a Certificate of Existence or Certificate of Authorization). CT can obtain this proof of your corporate existence with a state-issued certificate detailing company name; date the company was incorporated and authorized to do business; verification of up-to-date payments on all fees, taxes and/or penalties owed and annual reports filed; and confirmation that no Articles of Dissolution have been filed.[/collapse]
[collapse collapsed title="Certified Copy of Official Documents" class="my_css_class"] Official state-issued corporate documents may be required for specific business situations, such as qualifying to do business in a new state, securing financing or entering into complex transactions. If your business needs another true copy of its corporate documents, or if the originals have been lost or misplaced, CT can get certified copies directly from state authorities.[/collapse]
[collapse collapsed title="County Recording" class="my_css_class"] Certain jurisdictions require filings not only with state authorities, but at the county level as well. If your business must record corporate documents with county officials, CT can ensure this process goes smoothly and efficiently. Take advantage of our 120 years of experience and long-standing relationships with filing offices in every jurisdiction in the United States.[/collapse]
[collapse collapsed title="Evidence of Filings" class="my_css_class"] In some business situations, your company doesn’t need an original corporate document—just evidence that the document was indeed filed, processed and verified by state authorities. If your business needs evidence of the filing, but not the actual filing itself, CT can get this authentication directly from state officials. In most cases, these state-sanctioned certificates can be obtained much quicker than the original documents they are based on.[/collapse]
[collapse collapsed title="Pre-Clearance of Documents" class="my_css_class"] This service allows businesses to verify the accuracy of their corporate filings with state authorities, prior to officially submitting those documents. In addition, name availability can be checked, if applicable. CT can work with the appropriate filing offices to make sure everything is in order before your business is ready to file. That way, there are no surprises at the last minute.[/collapse]
[collapse collapsed title="Bring Down Letter" class="my_css_class"] CT can generate bring down comfort letters that reconfirm the accuracy of statements made in previous corporate documents and filings. Don’t let the passage of time put your corporate financial transactions at risk. Keep vital information readily updated.[/collapse]
[collapse collapsed title="Authentication, Legalization of Apostille" class="my_css_class"] Certifies a document for use in another country for business owners not located in the U.S. but operating a business in the U.S. Often required to open a bank account in another country for use in a U.S. business. CT can help provide an authentication or apostille for IRS certificates or for documents needed when growing your business abroad.[/collapse]
[collapse collapsed title="UCC Search and Filing" class="my_css_class"] CT can help with all your UCC needs, including filing UCC documents and researching UCC, judgment, federal and state tax liens; real property documents and encumbrances; and bankruptcy and litigation court searches.[/collapse]
[collapse collapsed title="Name Services" class="my_css_class"] When you are ready to form your business, CT can help make sure that the business name you want is available and reserve it on your behalf. Name services include name availability, name reservation, and name registration.[/collapse]
[collapse collapsed title="Name Availability" class="my_css_class"] We will conduct a name search in the state where you are forming or qualified to do business.[/collapse]
[collapse collapsed title="Name Reservation" class="my_css_class"] If you know you'll want to use a name in a state but have yet to form or qualify there, we can submit the paperwork and reserve that name. We'll alert you of the reservation period.[/collapse]
[collapse collapsed title="Name Registration" class="my_css_class"] Even if you don't want to form in a state, but don't want anyone else to use a specific name in that area, you can file a name registration and ensure it will not be used. CT can prepare and file with the state.[/collapse]
Closing an Entity
[collapse collapsed title="Dissolution" class="my_css_class"] CT can help you legally end a company's existence in a state. We will prepare and file all documents needed to dissolve your entity, and send evidence to your location.[/collapse]
[collapse collapsed title="Withdrawal" class="my_css_class"] Just because you dissolved in your home/domestic state, doesn't mean that you're done. If the entity you dissolved was qualified to do business in other states, you'll need to withdraw from those states as well. Again, we're happy to prepare and file all the required documents necessary for fully withdrawing from those states.[/collapse]
[collapse collapsed title="Tax Clearance" class="my_css_class"] Before you can dissolve/withdraw your entity, you must first be in good standing in each state you're operating in. A tax clearance will give proof that your entity has no outstanding taxes owed, and can therefore be dissolved.[/collapse]
