Tennessee — Senate Bill 144/House Bill 620, effective April 6, 2015, amends the Business Corporation Act regarding notice of shareholder meetings, shareholder approval of mergers, procedures for dissenting shareholders, and dissolution procedures. It also amends the Nonprofit Corporation Act by adding a definition of “sign,” and substituting a new subdivision regarding member approval of mergers.
