As of December 1, 2015, the State of Delaware will no longer accept paper UCC filings as the Division of Corporations will only accept electronic filings or filings through an authorized UCC Filer. This new restriction includes filings made by regular U.S. mail, courier, or fax transmission directly to the DE Division of Corporations.

If you currently use CT, you’ll see no changes except better search results and shorter through dates. If you are currently self-filing, please contact us for assistance with navigating the new requirements

Revising Filing Options to Improve Efficiency

Because the Division of Corporations regularly receives large amounts of filings annually, the agency’s management has been reviewing and redesigning the submission process for improved efficiency. The transition away from paper filing is a big step that is expected to produce significant operational savings associated with receipt, processing, file storage, additional scanning and more. These changes will also help searches to be more up-to-date and accurate.

The filing options available to customers will include the following:

  • Online Filing: Customers may submit their filing electronically using either the Division’s e-UCC web application or via a UCC XML submitter such as iLien. Here, the customer is responsible for all of the data entry and formatting is standard.
  • Using an Authorized Filer: Customers can continue to submit filings to CT and there are no changes to how CT submits the filings to the state. Upon submission, the state will review and approve. 

The UCC filing submittal change does not alter deadlines or notice requirements normally required. To protect and secure interests, companies and legal representatives should make sure to submit their filings in a timely manner and as necessary with the correct jurisdictions.
