Virginia — House Bill 234, effective July 1, 2016, amends the Virginia Nonstock Corporation statute relating to actions taken without a meeting of a board of directors. The changes allow for a nonstock corporation’s articles of incorporation to permit greater flexibility concerning the number of directors who must sign a consent to an action without a corporate meeting, and provides requirements for all directors to be given notice of and an opportunity to object to a proposed action being taken without a meeting.
