An LLC (Limited Liability Company) can be formed in any state; and, there are many similarities in the rules across all of the states. However each state has its own nuances—and Missouri is no exception. Naming your MO LLC
Your LLC’s name must include the words "Limited Liability Company" or "Limited Company" or the abbreviations "LC," "LLC" or "L.L.C." Your name can’t have any word or phrase indicating or implying the LLC is a governmental agency or that it is organized for a purpose not allowed under Missouri law. And the name must be distinguishable from the name of any domestic or foreign-qualified LLC, corporation, limited partnership, or reserved name filed with the state.
Member/Manager information
The following are Missouri’s requirements for the members and managers of LLCs:
- Minimum number. LLCs must have one or more members.
- Residence requirements. Missouri does not have a provision specifying where members or managers must reside.
- Age requirements. Members and managers must be at least 18 years old.
- Inclusion in the Articles of Organization. Member or Manager names and addresses are not required to be listed in the Articles of Organization.
Requirements for the Articles of Organization
A Missouri LLC is formed by filing Articles of Organization and paying the state-required fee. The information required in the formation document varies by state. Missouri requires:
- Manager-managed or member-managed. You must indicate how your LLC will be managed.
- Series LLC. Missouri permits Series LLC. If you intend to use this strategy, you must designate the name of each series in the Articles of Organization. (Each separate series must also file an Attachment Form LLC 1A.)
- Name(s)/Addresses of organizers. The Article must list the names and physical (street) addresses of the organizers, who are not required to be member(s), manager(s) or owner(s).
Registered Agent
You must list the name and address of a Registered Agent with a physical address in Missouri—post office box addresses are not permitted. Your registered agent must be available during normal business hours to accept Service of Process and other important legal and tax documents for the business.
Professional services businesses
Missouri does not provide specific rules for a professional limited liability company (PLLC). However, professionals, such as accountants, attorneys, and physicians, may operate as an LLC.
