Delaware — Recently enacted Secs. 204 and 205 of the corporation law allow a corporation or the chancery court to validate stock issuances or other corporate acts that were invalid due to noncompliance with the law. In In re Numoda Corporation Shareholders Litigation, C.A. No. 9163, decided January 30, 2015, the chancery court validated stock issuances after finding evidence of acts by the board to issue the shares, and after considering, among other factors, that the corporation operated as if the stock had been validly issued and that validation would put the shareholders in the position they expected to be in.
