Oregon — House Bill 2191, effective January 1, 2018, among other things permits the Secretary of State to investigate possible violations of the corporation and LLC laws, permits the Department of Revenue to recommend dissolution of a corporation or LLC for failure to pay taxes, provides for actions for dissolution to be brought against shell companies or companies organized for an illegal purpose, requires business entities to designate a physical place of business that cannot be a mail receiving, mail forwarding, or virtual office, requires document signers to make certain statements under penalty of perjury; and requires an individual with direct knowledge of the operations of a corporation or LLC to be named on articles of incorporation or organization.
