Each state has its own, unique rules for forming an LLC (limited liability company). If you are thinking of forming an LLC in Iowa, you’ll want to become familiar with its requirements.

Naming your Iowa LLC

Your LLC’s name must end with "Limited Liability Company," "LLC," "L.L.C.," "Limited Company," "Ltd. Co.," "LC" or "L.C." Plus, the name you pick must be distinguishable from the name of any domestic or foreign LLC authorized to transact business or a name that has been reserved or registered.

Member/Manager information

The following are Iowa’s requirements for the members or managers of LLCs:

  • Minimum number. An Iowa LLC must have at least one member.
  • Residence requirements. Iowa does not have a provision specifying where members/managers must reside.
  • Age requirements. Iowa does not have age requirements for members or managers.
  • Inclusion in the Certificate of Organization. Member or Manager names and addresses are not required to be listed in the Certificate of Organization.

Requirements for the Certificate of Organization

In Iowa, an LLC is created by filing a Certificate of Organization. Unlike most states, Iowa does not have a standard form for this document. Instead, organizers must draft their document based the statutory requirements posted on the secretary of state website.

Registered agent

The Certificate of Organization must list the name and address of a Registered Agent with a physical address (no post office boxes) in Iowa. The registered agent must be available during normal business hours to accept Service of Process and other state-mandated documents.

Professional services businesses

Iowa allows professionals, such as accountants, attorneys, and physicians, to form a professional limited liability company (PLLC).
