LLC (Limited Liability Company) formation requirements differ from state to state. Learning Maine’s requirements for forming an LLC can help you decide whether to form your LLC in that state.

Naming your Maine LLC

In Maine, your LLC’s name must contain the words “limited liability company” or “limited company” or the abbreviations “L.L.C.,” “LLC,” “L.C.” or “LC”.  The name cannot be the same as or deceptively similar to that of any domestic or foreign-qualified LLC (or a name that has been reserved) unless you have obtained authorization from that company. Plus, your name shall not contain any word or phrase that indicates or implies, the LLC is organized for a purpose that’s not permitted by Maine law.

Member/Manager information

The following are Maine’s requirements for the members/managers of LLCs:

  • Minimum number. LLCs must have one or more members.
  • Residence requirements. Maine doesn’t stipulate where members and managers must reside.
  • Age requirements. There are no age requirements for members or managers stated in the Maine LLC Act.
  • Inclusion in the Articles of Organization. Member and manager names and addresses are not required to be listed in the Articles of Organization.

Requirements for the Articles of Organization

To form an LLC in Maine, you must file Articles of Organization and pay the required filing fee. Maine requires the following information:

  • LLC Name
  • The date the filing will be effective, if not immediately
  • Whether the LLC will be a low-profit LLC (one that exists for a public benefit in addition to a private one)
  • Whether the LLC will be a professional services LLC and, if yes, the profession services that will be rendered
  • Designation of a registered agent

Registered Agent

You must list the name and address of your Registered Agent on the Articles of Organization. The address must be a physical address in Maine—no post office boxes. And, your Registered Agent must be available during normal business hours to accept Service of Process and other important legal and tax documents on behalf of the LLC.

Professional services businesses

Maine allows professionals, such as accountants, attorneys, and physicians, to form a professional limited liability company (PLLC).
