Each state has its own rulings for forming an LLC (Limited Liability Company) and Oklahoma is no exception. Learning the requirements for an Oklahoma LLC will help you decide whether to form one in that state and make the formation process go more smoothly if the answer is “yes”.

Naming your OK LLC

The name you select for your LLC must contain the words "limited liability company" or "limited company" or the abbreviations "LLC," "LC," "L.L.C." or "L.C.". (The word limited may be abbreviated as Ltd. and the word company may be abbreviated as Co.) Your chosen name must be distinguishable from the name of any foreign or domestic corporation currently in use or used during the preceding three years; a name currently in use by any domestic or foreign limited partnership or LLC. Also, the name must be distinguishable from any trade name, fictitious name, or reserved name.

Member/Manager information

The following are Oklahoma’s requirements for the members and managers of LLCs:

• Minimum number. Every Oklahoma LLC must have at least one member.
• Residence requirements. Oklahoma does not have a provision specifying where members/managers must reside.
• Age requirements. Oklahoma does not have age requirements for members or managers.
• Inclusion in the Articles of Organization. There is no need to list the names and addresses of members or managers in the Articles of Organization.

Requirements for the Articles of Organization

In Oklahoma, you form an LLC by filing the Articles of Organization and paying the filing fee. Oklahoma requires the following information in the Articles of Organization:

• The name of the LLC, as discussed above
• The street address of the LLC’s principal place of business, whether the address is in Oklahoma or another state. A post office box is not acceptable
• A valid email address for the LLC’s primary contact. (The annual report notification is sent only to this electronic address.)
• The name and address of the LLC’s registered agent, as discussed below
• The term of the LLC’s existence—whether perpetual, a set number of years, or a specific date.
• The signature of at least one organizer. (The organizer does not need to be a member of the LLC, but can be one.

Registered Agent

You must appoint—and continuously maintain—a Registered Agent. The name and address of the Registered Agent must be listed on the Articles of Organization. The address must be a physical (street) address in Oklahoma. It cannot be a post office box. Your agent must be available during normal business hours, year-round, to accept Service of Process and other important legal and tax documents for the business.
