Multiple States — The following Secretary of State offices will be closed on October 12, 2015, in observance of Columbus Day:  AL, AZ, CT, DC, GA, ID, IL, IN, ME, MD, MA, MO, MT, NE, NJ, NM, NY, OH, PA, RI, UT, VA, and WV.

Nevada Senate Bill 39, effective October 1, 2015, changes the State Business License requirements

Montana House Bill 258, effective October 1, 2015, enacts the Montana Benefit Corporation Act.

Maryland House Bill 522, effective October 1, 2015, amends the Corporations & Associations article.

Louisiana — House Bill 394, effective October 5, 2015, provides that name reservations will be allowed for partnerships and nonprofit corporations for a nonrenewable 120 day period.  In addition, the name reservation period for limited liability companies will be changed from 60 days to a nonrenewable 120 day period. 

Connecticut Senate Bill 967, effective October 1, 2015, amends the Business Corporation Act

Alabama — Senate Bill 243, effective October 1, 2015, requires the Alabama Department of Revenue to begin issuing a “Certificate of Compliance” certifying that a business entity is in compliance with all Alabama state taxes, rather than the previously issued “Good Standing Certificate,” which only certified payment of business privilege taxes.

Texas – Senate Bill 860, effective September 1, 2015, defines owner liability, revises the signature requirements for termination, reinstatement, and certain amendments and adds a subchapter regarding ratification of defective corporate acts or shares.
